Cost to use the Jigsaw Conferences Ltd – International Venues
 
The Jigsaw Conferences (JC) is a free online directory for event planners (hereafter called "Users") to search, select, and source venues. Hotels, venues, and companies that provide services to event planners (hereafter called "Suppliers") can also register for a free JC account (hereafter called "Basic Listing") to display their venue or service. JC also serves as a portal for the transaction of requests for proposals (RFP's), bid responses and related communications among registered Users and Suppliers.
 
Suppliers that have a Basic Listing pay no fees to JC for listing their venue, or service, or for transactions between Suppliers and registered Users through the Supplier directory network. Suppliers can upgrade their free Basic Listing by purchasing a marketing package (upgrade) from JC. Responsibilities of the Parties
 
Registered Users and Suppliers agree (i) to abide by all applicable local, state, national, and international laws and regulations; (ii) not to use the JC for illegal purposes; (iii) not to impersonate any person or entity or engage in any fraudulent business practice; and (iv) not to generate automated, fraudulent or otherwise invalid impressions, inquiries, conversions, clicks or other actions.
 
Users and Suppliers assume all risk in dealing with other members of the JC and shall be responsible for all communication with each other and if applicable, separately executing contracts with one another. Any dispute regarding any product or service, or failure to provide agreed products and services must be resolved directly between the registered User and the applicable Supplier(s). JC is not responsible for any breach by either party of the terms of any transaction or associated transaction-related activities. Each registration is for a single user only. The Company does not permit you to share your user name and password with any other person nor with multiple users on a network. Responsibility for the security of any passwords issued rests with you.
 
Supplier Responsibilities
 
Supplier agrees that it is solely responsible for its actions, its products, its services, and the content of its transmissions on the JC. Supplier represents and warrants that to the best of their knowledge that all Supplier Content on JC is correct and current. Supplier agrees that all placements of Content have been approved for JC use. Supplier grants JC a limited, non-exclusive right to use its Content (including copyright, trademark, patent, publicity or other rights) for JC to operate the JC Suppliers shall have exclusive control of the web page content with respect to the Supplier description, including but not limited to the Supplier overview, pictures and list of amenities for the supplier. JC shall cooperate with Suppliers to ensure that the content is accurate.
 
Supplier Advertisements
 
Marketing Packages will be shown for the Term of this Agreement provided JC has received the necessary content from Supplier will go live on the JC website immediately once the upgrade package has been paid for online.
Registered Users
 
Registered Users represent that each Request for Proposal submitted is for a valid event and that the registered User is authorized to submit the Request for Proposal.
 
Content and Access
 
All parties recognize that JC has no control over the quality, accuracy, safety or legality of the products and/or services advertised. You shall not reverse engineer, disassemble or decompile the Services or cause or permit the reverse engineering, disassembly or decompilation of the Services. All users of JC Services and visitors to the JC websites agree not to use any manual or automated means (of any type) to capture or extract data in bulk from JC websites.
 
No competitors or future competitors are permitted access to the JC, You agree that you will not copy, record, publish, extract, scrape, replicate, reproduce, use or resell for any competing commercial purpose any information on our site. If you do so, then you agree that JC is suffering irreparable injury and you agree to pay all reasonable attorney's fees and costs incurred in enforcing these provisions. JC may, at its sole discretion, immediately terminate access to the JC should any registered User's or Supplier's conduct fail to conform to any of these Terms.
 
JC may modify the Supplier Network website display and terms at any time without liability except regarding intellectual property rights of the Supplier. Your use of the Supplier Network after the terms have changed constitutes acceptance of the new terms. JC reserves the right, at its sole discretion, to determine all matters concerning the JC and may change the format and page placement of all data at any time without prior notice.
 
Partner Promotions and Special Offers
 
JC is not responsible or liable for the availability or content of services and promotions listed by Suppliers on the JC website. JC wants to however, ensure the quality and integrity of our toolset, and appreciate any reports of inaccuracies found on the site. Warranties
 
THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, AND JIGSAW CONFERENCES DISCLAIMS ALL WARRANTIES, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, CORRESPONDENCE TO DESCRIPTION, FITNESS FOR A PARTICULAR PURPOSE. SUPPLIER ACKNOWLEDGES THAT COMPARE WEDDING SUPPLEIRS CANNOT COMMIT TO THE VOLUME OR QUALITY OF RFPs THAT ARE SUBMITTED THROUGH THE COMAPRE VENUES DIRECTORY NETWORK.
 
Limitation of Liability
 
Our Company liability to you, affiliates, registered agents, assignees, registrants or any third party claims for any recoverable losses or damages arising under any Agreement shall be limited to the amount of your actual direct damages, not to exceed (in the aggregate for all claims) the total annual amount paid under the Agreement during its then-current term. If no fee is paid to JC, JC does not retain any liability. These limitations of liability will survive and apply notwithstanding the failure of any limited or exclusive remedy for breach of warranty set forth in this Agreement.
 
IN NO EVENT WILL JC BE LIABLE FOR: (i) ANY DAMAGES CAUSED BY YOUR FAILURE TO PERFORM YOUR RESPONSIBILITIES; (ii) ANY CLAIMS OR DEMANDS OF THIRD PARTIES OR (iii) ANY LOST PROFITS, LOSS OF BUSINESS, LOSS OF USE, LOSS OF DATA, LOST SAVINGS OR OTHER CONSEQUENTIAL, SPECIAL, INCIDENTAL, INDIRECT, EXEMPLARY OR PUNITIVE DAMAGES.
 
Laws and Disputes
 
This Agreement will be governed by the laws governed by and construed in accordance with English law. Disputes arising in connection with this legal notice shall be subject to the exclusive jurisdiction of the English courts.
 
Notice
 
Any notice pursuant to this Agreement shall be in writing and shall be deemed to have been duly given: (i) five (5) business days after the date of mailing if sent by registered or certified UK. mail; (ii) when delivered if delivered personally or sent by express courier service; (iii) when transmitted if sent by a confirmed facsimile; or (iv) when transmitted via email, provided that the receiving party acknowledges receipt by return email.
 
Intellectual Property and Protection of Content for Jigsaw Conferences Directory and Jigsaw Conferences Website. You acknowledge that JC or its licensors retain all copyright, trademark, trade secret, patent and other proprietary and intellectual property rights to the Jigsaw Conferences Directory Services.
 
JC acknowledges that You retain all copyright, trademark, trade secret, patent and other proprietary and intellectual property rights to the information you provide to the JC Directory Services. You shall retain control over all of their service marks and trademarks. Nothing in this Agreement will directly or indirectly be construed to assign or grant JC any right of ownership, title or interest in the information owned by You, or any intellectual property rights relating thereto, except as to display such information within the JC Directory Supplier Network.
 
Termination
 
If you become dissatisfied with the Services because of substantial non-performance, you shall give the Company detailed written notice of such dissatisfaction. JC shall have thirty (30) days to cure the substantial non-performance after receipt of such notice. If JC fails to cure such substantial non-performance, you may terminate this Agreement and JC will refund your total Annual Fees on a monthly pro-rata basis starting as of the end of the thirty (30) day cure period, unless calculation of actual usage would lead to a lower refund amount, in which case that calculation will be used.
 
Either party may terminate this Agreement if (i) the other party breaches any material term or condition and fails to cure within thirty (30) days written notice, or (ii) the other party becomes the subject of a petition in bankruptcy or any proceeding relating to insolvency, liquidation or receivership.
 
In the event of non-payment by the Supplier, JC may accelerate and declare all sums due, and to become due under this Agreement, immediately payable without notice or demand. All accelerated future payments due under this Agreement shall be discounted to their net present value at a discount rate of 5% per annum from the day of default. If you fail to pay fees when due, then you shall also be liable for all fees due during the term of the Agreement and any additional expenses (including but not limited to reasonable attorneys' fees and accrued interest) JC incurs in collecting such delinquent fees.
 
In the event of non-payment by the Customer, JC reserves the right to restrict access to the Services. Customer agrees that such restrictions do not modify the amounts due under their contract.
 
ELIGIBILITY REQUIREMENTS
 
JC shall have absolute discretion as to whether or not it accepts a particular applicant (User) or site (Supplier) for participation in the service.
 
REMOVAL FROM NETWORK
 
JC reserves the right to terminate the participation of any member or site without reason but expressly including any member site that JC judges to be in violation of the Terms and Conditions.
 
Members in violation of JC's Terms and Conditions will be immediately deactivated. JC may deactivate members with no prior notification. Members found in violation of the Terms and Conditions will not receive any credit or payment from JC. Members that are terminated by JC on any basis other than violation of these Terms and Conditions will be entitled to receive any payment due from JC.
As previously stated, any member site that JC removes from the service due to violation of the Terms and Conditions will receive no credit or payment.
 
DISPUTES
 
Members may not file a complaint with one of our payment processors, JC staff will do its best to resolve any problem a member may have. Refunds will be processed, if deemed necessary, at a time of JC staff's choosing. Due to the incompatible communication systems between our payment processors and JC staff members, payment disputes logged directly with those processors cannot be properly managed and will cause further delays. Due to this, members who make a complaint to our payment processor will face account termination without notice. JC makes available a project dispute system that may be used by members to request mediation by staff. JC reserves the right to use its own discretion to make decisions in favour of a party and considers its decision final. A fee may be charged to reopen closed dispute cases.
 
COPYRIGHTS
 
No copyright material can be posted on JC. Only posting sections of articles or scripts, as examples, will be permitted. A "section" being no more than 10% of the contents. This is meant to protect the author's rights. We also do not tolerate projects that are clearly requesting unauthorized reproduction of copyrighted or patented material.
 
MODIFICATIONS
 
JC reserves the right to change the member Terms and Conditions at any time. It is the member's responsibility to check these Terms and Conditions from time to time for such changes. In the event JC offers any additional or replacement services then this agreement shall apply to such services in the absence of any new agreement specific to such services which is entered into between the parties.
 
OWNERSHIP
 
Members agree that all information contained on a website operated by JC, and all information compiled by JC through operation of the affiliate program, is the proprietary information of JC. Personal information provided by members to JC will be kept confidential and will not be distributed to any third party.
 
E-MAIL ADDRESSES
 
Members agree not to post their e-mail address on the site, except in the "e-mail" field of the signup form, or when asked by JC at any other time. There should be no need to give anyone your e-mail address. It is automatically provided if you choose a Supplier Upgrade Package (or you are the Supplier chosen for) a Request For Proposal (RFP).
 
PROVIDING CONTACT INFORMATION
 
You are prohibited from making direct contact with another member, unless it's for a RFP you (a supplier) have been picked for, or you (a user) have picked a supplier for as a basic listing, unless you have purchased a upgraded listings in which case will have direct communications with users on the network. This includes giving out your e-mail address, instant messenger, phone number, or any other method of contact outside of this site.
 
ADVERTISING
 
You are prohibited from advertising your website on JC, out the normal directory listing and upgrade or advertising packages purchased.
 
ACCOUNTS
 
An individual may not possess more than one User account and one Supplier account, unless they have contacted and received authorization from JC staff. Users found with unauthorized multiple accounts, or found to be using multiple accounts to avoid bad reviews, fees, suspensions or other limitations, will face suspension of all their accounts. It is prohibited under all circumstances to transfer ownership of an account, without authorization from JC staff. Accounts that are inactive (have no login activity) for more than 12 months will be deactivated and have their remaining funds deducted by JC.
 
THE ROLE OF JIGSAW CONFERENCES (JC)
 
JC functions as a place to connect users and suppliers in a virtual marketplace. As a neutral facilitator, JC is not directly involved in the actual transactions between users of the Site. As a result, JC has no control over the truth, accuracy, quality, legality, or safety of postings made by users. Because verifying the identity of a user on the Internet is difficult, JC cannot and does not confirm the identity of users. JC also does not confirm nor verify the qualifications, background, or abilities of users. Therefore, We recommend that you be careful and exercise common sense and good judgment when dealing with any member on the Site. INDEMNITY
 
Any user making a User Submission agrees to defend, indemnify and hold harmless the Company, its officers, directors, employees and agents from and against any claims, actions or demands including, without limitation, reasonable legal and accounting fees, alleging or resulting from
any material provided by a user as a User Submission; and/or
any Website content that the user uses; and/or
any breach of these Terms and Conditions by the user.
 
LEGAL ISSUES
 
Members are responsible for legal issues related to the work product or process and any RFP's on JC. This site is governed by the laws of and construed in accordance with English law. Any legal action against us shall take place in the courts of the Great Britain, England. The parties attorn to the non-exclusive jurisdiction of the courts of Great Britain England.
 
GENERAL
 
The Company makes no claims that the Website content may be lawfully viewed or downloaded outside of the United Kingdom. Access to the Website content may not be legal by certain persons or in certain countries. If you access the Website from outside the United Kingdom you do so at your own risk. If any provision of these Terms and Conditions is found to be invalid by any court having competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms and Conditions which shall remain in full force and effect. No waiver of any of these Terms and Conditions shall be deemed a further or continuing waiver of such term or any other term. Except as expressly provided in any additional terms of use for areas of the Website a particular "Legal Notice" or Software Licence or material on particular Web pages, these Terms and Conditions shall constitute the entire agreement between the user and the Company with respect to the use of the Website These Terms and Conditions and any rights and licences granted hereunder may not be transferred or assigned by any party other than the Company who may assign without restriction.
